Please read these terms carefully before using the Heardly platform.

Summary

Heardly helps you find public social media posts and comments from people who may need your product, ranks them, and suggests replies you can post yourself. By using Heardly you agree to these terms. They cover your use of heardly.io and all related services.

1. Acceptance of Terms

By creating an account, accessing, or using Heardly.io ("the Service", "the Platform"), operated by Ring & Bloom LLC ("Heardly", "we", "us"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Heardly is a software-as-a-service platform. When you run a scan, Heardly searches publicly available posts and comments on LinkedIn, Reddit, Instagram, TikTok and X for conversations related to your product, ranks them by how likely they are to be a potential customer, and suggests replies. Other platforms may be added, changed or removed over time.

Heardly does not post content on your behalf. All replies and interactions on third-party platforms are made by you directly. You are solely responsible for any content you post on any platform.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

The Service is intended for business use, including founders, brands, agencies, freelancers and creators, and not for personal, family, or household purposes.

4. Account Registration

To access the Service, you must create an account by providing accurate and complete information. You are responsible for:

Maintaining the confidentiality of your account credentials

All activity that occurs under your account

Notifying Heardly immediately of any unauthorized use of your account

Ensuring your account information remains accurate and up to date

Heardly reserves the right to suspend or terminate accounts that contain inaccurate, fraudulent, or misleading information.

5. Plans, Token Packs and Billing

5.1 Plans and Packs

Heardly offers monthly subscription plans (currently Building, Growing and Scaling) and one-time token packs (including the Starter Pack). Each option includes the tokens, platforms and limits described on the Pricing page at the time of purchase.

5.2 Billing

Subscription plans are billed monthly in advance until you cancel. Token packs are a one-time payment. Payments are processed by our payment provider, Stripe. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

5.3 Changing Plans

You can change or cancel your plan at any time from Settings. Plan changes are handled through our payment provider and take effect as shown at the time of the change.

5.4 Cancellation

You may cancel your subscription at any time. After you cancel, your plan and its monthly tokens continue until the end of the billing period you already paid for, and you will not be charged again. No refunds are issued for partial periods. Tokens from packs you bought are not affected by cancelling a plan.

5.5 Price Changes

We may change prices, plans or pack sizes. Changes to a subscription price apply from your next billing period after we notify you. Prices already paid are not affected.

6. Tokens

The Service uses tokens. Running a scan, generating reply suggestions and some other features use tokens. The number of tokens each action uses is shown in the Service and may change over time.

Monthly tokens included with a plan reset at the start of each billing period. Unused monthly tokens do not roll over.

Tokens from packs do not expire while your account is open. They are used after your monthly tokens.

If a scan fails to complete because of a problem on our side, the tokens it used are returned to your balance automatically.

Tokens have no cash value. They cannot be sold, transferred to another account, or exchanged for money, and token packs are non-refundable. Tokens are removed when your account is deleted.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service to harass, spam, or abuse other users or individuals on third-party platforms

Use the Service to post misleading, deceptive, or fraudulent content

Use the Service to contact people in a way that breaks the rules of the platform where they posted

Attempt to reverse engineer, decompile, or extract the source code of the Service

Use the Service in any way that violates the terms of service of LinkedIn, Reddit, Instagram, TikTok, X or any other third-party platform

Resell, sublicense, or transfer access to the Service to third parties without express written permission

Use automated tools, bots, or scripts to access the Service beyond its intended use

Submit websites or content that are harmful, illegal, or that you do not have the right to share

Use the Service to build profiles of individuals or to collect personal data about people for purposes other than replying to their public posts

Attempt to gain unauthorized access to any part of the Service or its infrastructure

Heardly reserves the right to suspend or terminate your account immediately if you violate these provisions.

8. Third-Party Platforms and Public Data

The Service works with publicly available content from third-party platforms. Heardly is not affiliated with, endorsed by, or officially connected with LinkedIn, Reddit, Instagram, TikTok, X or any other third-party platform.

Public posts and comments are collected through third-party data providers. Heardly does not access private messages, private accounts, or any content that requires logging in to those platforms.

Your use of third-party platforms is governed by those platforms' own terms. Heardly is not responsible for the availability, accuracy, or content of any third-party platform, and accepts no liability for changes to third-party platforms that affect the Service. Results depend on what is publicly available at the time of a scan, and we do not guarantee any number or quality of results.

9. AI-Generated Content

Heardly uses artificial intelligence services to help write product descriptions, suggest keywords, rank posts and comments, and write suggested replies. AI output can be inaccurate, incomplete or inappropriate.

Suggestions are a starting point only. You are solely responsible for reviewing, editing, and approving anything before you post it on any platform. Heardly accepts no liability for the consequences of posting suggested replies or other content from the Service.

10. Intellectual Property

10.1 Heardly Intellectual Property

The Service, including its design, features, code, and content, is owned by Heardly and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

10.2 Your Content

You retain ownership of the content you provide to Heardly, including your product details, website address, keywords, and edited replies. You grant Heardly a limited license to use that content solely to provide and improve the Service.

10.3 Feedback

If you give us feedback, suggestions, or ideas, including your "Good lead" and "Not a lead" picks and any reason you share when leaving, Heardly may use them without restriction and without obligation to you.

11. Privacy

Heardly's collection and use of your personal information is governed by our Privacy Policy, which is part of these Terms. By using the Service, you agree to the collection and use of your information as described there.

12. Deleting Products and Your Account

You can delete a product, and everything found for it, from that product's settings at any time. You can delete your account from Settings at any time. Deleting your account cancels any active subscription and removes your products, results, saved posts and remaining tokens. Deletion cannot be undone.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HEARDLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Heardly does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components, or that results obtained from the Service will be accurate, complete or lead to any customers or sales.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEARDLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL HEARDLY'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO HEARDLY IN THE TWELVE MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless Heardly and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, the content you post on any platform, your violation of these Terms, or your violation of any rights of a third party.

16. Modifications to the Service and Terms

Heardly may modify or discontinue the Service, or any feature or platform, at any time. We may also update these Terms. If we make material changes, we will notify you by email or by posting a notice in the Service before they take effect.

Your continued use of the Service after changes take effect means you accept the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms are subject to the exclusive jurisdiction of the state and federal courts located in Florida, and you consent to personal jurisdiction in those courts.

18. Termination

Heardly may terminate or suspend your access to the Service immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will immediately cease, and unused tokens are forfeited.

Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.
